1. About Eternity

Eternity works exclusively with B2B manufacturing and industrial businesses to design and implement structured digital systems, including websites and supporting digital infrastructure.

We are a long-term systems partner, not a generic web design vendor.

2. Scope of Services

The scope of services is defined only by:
  • written proposals
  • signed agreements
  • officially approved scope documents
Any work not explicitly mentioned in the agreed scope is out of scope and may require:
  • revised timelines
  • additional costs
  • a separate agreement

Verbal discussions, emails, or assumptions do not override written agreements.

3. No Guaranteed Outcomes

Eternity does not guarantee:

  • revenue growth
  • lead quantity or quality
  • search engine rankings
  • sales performance
  • business success

Our role is to build structured, scalable digital systems.
Business results depend on factors beyond our control, including your internal sales process, follow-ups, pricing, market conditions, and execution.

4. Client Responsibilities

You agree to:

  • provide accurate, complete, and timely information
  • assign a single point of contact for approvals
  • review and approve deliverables within agreed timelines
  • ensure compliance with applicable laws and industry regulations

Delays caused by missing inputs or approvals may impact project timelines and do not pause payment obligations.

5. Payments & Fees

  • All fees are payable as per the agreed proposal or invoice
  • Payments are non-refundable unless explicitly stated in writing
  • Delayed payments may result in:
    • work suspension
    • delayed delivery
    • withholding of access or handover

Taxes, government charges, or statutory duties are payable by the client unless specified otherwise.

6. Revisions & Change Requests

Revisions are limited to what is defined in the agreed scope.

Any request that changes:

  • structure
  • features
  • content volume
  • integrations
  • workflows

will be treated as a change request and may involve additional cost and time.

7. Intellectual Property

Until full payment is received:

  • all work remains the intellectual property of Eternity

After full payment:

  • ownership of the final agreed deliverables is transferred to the client
  • Eternity retains the right to showcase the work in portfolios, case studies, and internal documentation

Third-party tools, licenses, themes, or plugins remain subject to their respective licenses.

8. Third-Party Services

Eternity may integrate or recommend third-party services such as:

  • hosting providers
  • plugins
  • CRMs
  • analytics tools

Eternity is not responsible for:

  • third-party outages
  • pricing changes
  • policy updates
  • service discontinuation

Use of third-party services is subject to their respective terms.

9. Support & Maintenance

Post-project support is limited to:

  • what is explicitly mentioned in the agreement

Any ongoing maintenance, updates, or enhancements require:

  • a support plan
  • a separate maintenance agreement

Eternity is not responsible for issues caused by:

  • client-side changes
  • third-party updates
  • unauthorized access
  • hosting or server-level problems outside our control

10. Limitation of Liability

To the maximum extent permitted by law, Eternity shall not be liable for:

  • indirect or consequential losses
  • loss of profits, data, or business opportunities
  • delays caused by external dependencies

Our total liability, if any, shall not exceed the amount paid by you for the specific service giving rise to the claim.

11. Confidentiality

Both parties agree to keep confidential:

  • business information
  • technical details
  • internal processes
  • non-public data

Confidentiality obligations survive the termination of services.

12. Termination

Either party may terminate the engagement:

  • as per the termination terms mentioned in the agreement

Upon termination:

  • completed work up to the termination date will be billed
  • no refunds will be issued for work already performed

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.

14. Changes to These Terms

Eternity may update these Terms at any time without prior notice.

Updated Terms become effective immediately upon publication on this page. Continued use of the website or services indicates acceptance.
